Terms of Service
These terms govern work performed by AIBit IT-Solutions. Where a signed agreement, statement of work or support contract exists, that document takes precedence over anything here.
Scope of work
All work is performed against a written quote or statement of work describing what is included, what it costs, and roughly when it will be delivered. Anything not written into that document is not included.
Changes to an agreed scope are handled as a written variation: we tell you the cost and schedule impact before starting, and you approve it before we proceed. We do not perform unapproved chargeable work.
Quotes and pricing
Quotes are valid for 30 days. Hardware pricing is passed through at supplier cost plus a stated handling margin — we will show you the supplier invoice on request. Where a supplier price changes between quotation and purchase, we tell you before ordering.
Payment
Payment terms are set out on each quote. Standard terms are a 40% deposit to begin, milestone payments against agreed deliverables, and the balance on handover. Support contracts are billed monthly in advance.
Invoices are due within 15 days. We may pause work on materially overdue accounts, and will give you notice before doing so.
Your responsibilities
To deliver on schedule we need reasonable access to premises, systems and whoever makes decisions on your side. Where a delay is caused by access, approvals or information we are waiting on, the timeline moves accordingly and we will tell you at the time rather than at the end.
You confirm that you are entitled to authorise the work — that you own or control the premises, systems and data involved.
Intellectual property
Custom software we write for you is yours. On final payment, ownership of the bespoke code we produced under the engagement transfers to you, and you receive the source.
We retain ownership of our pre-existing tools, libraries and internal components. Where these are used in your system, you get a perpetual, non-exclusive licence to use them as part of that system.
Third-party software and hardware remains subject to its own vendor licences, which we will identify.
Warranty
Installation work carries a 12-month workmanship warranty. If something we installed fails because of how we installed it, we return and correct it at no charge.
Custom software carries a 90-day defect warranty from handover: behaviour that does not match the agreed specification is fixed at no charge. New functionality, changes of requirement, and faults caused by modifications made by others are chargeable work.
Hardware carries its manufacturer’s warranty. We handle the claim on your behalf.
The warranty does not cover damage from misuse, unauthorised modification, power events, weather, theft or pest damage.
Limitation of liability
We are liable for loss we cause through our own negligence or breach of these terms. Except where Philippine law does not permit it to be limited, our total liability for any engagement is capped at the fees paid for that engagement.
We are not liable for indirect or consequential loss — lost profit, lost business, lost data where you declined a backup solution we recommended in writing, or losses arising from third-party service failures outside our control.
Nothing here limits liability for death, personal injury or fraud.
Confidentiality
Each side will keep the other’s non-public information confidential and use it only for the purposes of the engagement. This survives the end of the engagement.
Support and response times
Response targets for clients on a support contract are set out in that contract. Targets are for our response, not for resolution — some faults depend on parts, third-party carriers or vendor escalation, and we will keep you informed where that is the case.
Termination
Either side may end an ongoing support contract with 30 days’ written notice. Project engagements may be ended by either side in writing; you pay for work completed and for non-cancellable commitments already made on your behalf, and we hand over everything produced to that point.
Governing law
These terms are governed by the laws of the Philippines.
